Terms of Service

1. The Service

MagicTalk provides an AI-assisted customer service platform, including agent consoles, knowledge management, and related features (the "Service"). We may add, change, or remove features over time to improve the Service.

2. Accounts and Eligibility

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. You must be authorized to enter into these Terms on behalf of your organization.

3. Subscriptions and Payment

MagicTalk is offered on a subscription basis with flat-rate monthly pricing per plan. Payment processing is handled by Paddle, which acts as the Merchant of Record for all transactions. By subscribing, you also agree to Paddle's buyer terms.

• Subscriptions renew automatically each billing period unless canceled.
• Prices are stated exclusive of applicable taxes; Paddle calculates and collects any required taxes based on your location.
• You may cancel your subscription at any time; access continues until the end of the current billing period.

4. Acceptable Use

You agree not to misuse the Service. In particular, you will not:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Attempt to gain unauthorized access to the Service or its systems.
• Upload content that infringes the rights of others or violates applicable law.
• Interfere with or disrupt the integrity or performance of the Service.

5. Customer Data

You retain ownership of the data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service, in accordance with our Privacy Policy. You are responsible for ensuring you have the necessary rights and consents for any data you provide.

6. Intellectual Property

The Service, including its software, design, and underlying technology, is owned by Makebot and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or other brand features.

7. Service Availability

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted operation. We may perform maintenance, updates, or changes that temporarily affect availability.

8. Disclaimers and Limitation of Liability

The Service is provided "as is" without warranties of any kind, to the maximum extent permitted by law. To the extent permitted by law, Makebot's total liability arising out of or relating to the Service shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

9. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that risks harm to others or to our systems.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law principles, except where mandatory consumer protection laws of your country of residence apply.
